Terms and Conditions

By accessing, browsing, or using the Belya platform, website, or any reports, analyses, or services provided by Belya S.A. ("Belya," "we," "us," or "our"), you ("you," "your," "member," or "client") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use our services.

These Terms apply to all users of the Belya platform, including free-tier users, paid subscribers, and trial users. By creating an account or accessing any Belya content, you accept these Terms.

• "Platform" means the Belya website and all associated services, applications, and interfaces.
• "Report" means any research intelligence report, analysis, brief, data visualization, or other content produced by Belya and delivered through the Platform.
• "Subscription" means the access plan (free or paid) under which you receive Reports and use the Platform.
• "Content" means all text, data, graphics, charts, methodologies, software, trademarks, and other materials on the Platform.

You must provide accurate, current, and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account. Belya is not liable for any loss or damage arising from your failure to protect your account credentials.

Each account is personal to the registered user. Sharing account credentials is strictly prohibited and constitutes a material breach of these Terms.

Belya offers free and paid subscription plans. Paid subscriptions are billed monthly or annually as indicated at the time of purchase. All fees are exclusive of applicable taxes.

Paid subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no refunds are provided for partial periods.

Belya reserves the right to change subscription fees with 30 days' notice. Continued use after the fee change constitutes acceptance of the new fees.

All Content on the Platform, including Reports, analyses, data, charts, visuals, software, trademarks, trade names, and proprietary methodologies, is the exclusive property of Belya S.A. or its licensors. All rights not expressly granted are reserved.

No Content may be reproduced, distributed, modified, adapted, translated, or exploited in any way without our prior written consent. This prohibition applies regardless of medium, format, or purpose.

Subject to your compliance with these Terms, Belya grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Reports for your personal, non-commercial use only. This license is strictly personal to you.

You may not, and may not permit any third party to: (a) resell, redistribute, or share Reports; (b) use Reports to train AI/ML models; (c) create derivative works; (d) remove or alter any electronic signature, watermark, or copyright notice; or (e) use the Platform in any way that violates applicable law.

You agree not to:

• Share, transfer, or make available your account or Reports to any unauthorized person
• Resell, rent, lease, or sublicense access to the Platform or any Report
• Use the Platform for any illegal or unauthorized purpose
• Attempt to circumvent any security, authentication, or electronic signature measures
• Scrape, crawl, or extract data from the Platform by automated means
• Interfere with or disrupt the Platform or its underlying infrastructure

Belya may suspend or terminate your access immediately, without notice or refund, if you breach these Terms. Upon termination, your license to access Reports ceases, and you must permanently delete all copies of Reports in your possession.

You may terminate your account at any time. Termination does not relieve you of obligations that by their nature survive termination, including payment for services already rendered.

To the maximum extent permitted by Luxembourg law, Belya S.A. and its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or Reports. This limitation does not apply in cases of gross negligence (faute lourde) or willful misconduct (dol) on our part, or in cases of personal injury or death.

You agree to indemnify, defend, and hold harmless Belya S.A. from any claims, damages, losses, and expenses (including legal fees) arising from your breach of these Terms, your unauthorized use of Reports, or your violation of any law or third-party rights.

These Terms are governed by Luxembourg law. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Luxembourg City. Belya may seek injunctive relief in any competent court for IP violations or unauthorized use.

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

Belya shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, natural disasters, pandemics, internet or telecommunications failures, power outages, or third-party service disruptions.

These Terms, together with the Privacy Policy, Disclaimer, EULA, and Cookie Policy, constitute the entire agreement between you and Belya regarding the use of the Platform and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely approximates the original intent.

We may modify these Terms at any time. Material changes will be notified by email or platform notice. Continued use after changes take effect constitutes acceptance.
